Terms and conditions

Last updated 1 September 2026. These terms govern use of the PayLuxPay gateway and any acquiring, payout or risk services provided alongside it. The signed merchant agreement prevails where the two differ.

THE AGREEMENT

Scope, term and what each side owes.

1 · Services

We provide gateway access, transaction routing, tokenisation, risk tooling and — where agreed in the offer — acquiring and payout services. Availability targets and support hours are set out in the service schedule.

2 · Term and renewal

The initial term is twelve months from the date the first merchant ID goes live, rolling month to month thereafter. Either party may end the rolling term on sixty days written notice.

3 · Fees

Fees are those stated in the offer: discount rate, per-transaction and per-payout fees, dispute fees and the monthly platform fee. Fees are deducted from settlement unless invoiced separately.

4 · Your obligations

You agree to process only the business model approved during onboarding, keep your checkout and refund policy accurate, and tell us before you launch a new brand, market or product line.

MONEY

Settlement, reserves and disputes.

5 · Settlement

Settlement runs on the cycle in the offer, net of fees, reserve, refunds and disputes. We may delay a settlement where we are required to investigate a transaction or where a scheme instructs us to hold funds.

6 · Rolling reserve

Reserve percentage, hold period and any step-down dates are set in the offer. Reserve is released on schedule once open disputes for the covered period have closed.

7 · Chargebacks and refunds

You remain liable for the full value of chargebacks, refunds, fines and scheme assessments arising from your traffic. Where ratios exceed the agreed cap, we may raise reserve, add monitoring, or suspend routing.

8 · Taxes

Fees are exclusive of VAT and any other applicable tax, which is added where due.

LIMITS

Prohibited activity, liability and ending the agreement.

9 · Prohibited activity

Processing is restricted to the approved business model. Traffic in any category on our prohibited list — including content involving minors, non-consensual material, sanctioned parties, or products the destination market forbids — is a material breach.

10 · Suspension

We may suspend routing immediately where we reasonably suspect prohibited activity, fraud, a security incident, or a breach that puts scheme or partner relationships at risk. We tell you why in writing the same day.

11 · Liability

Neither party is liable for indirect or consequential loss. Our aggregate liability in any twelve-month period is capped at the fees you paid us in the preceding three months, save for liability that cannot be limited by law.

12 · Governing law

The agreement is governed by the law stated in the merchant agreement, and disputes are subject to the exclusive jurisdiction of the courts named there.
